Additional agreements to the website leasing contract
30-day satisfaction guarantee: 50% refund of the first month’s fee in the event of dissatisfaction
Specific reasons for dissatisfaction are defined as follows:
(a) More than 10% of the functions and content agreed in writing (by email) are missing when the website is delivered.
b) The average loading time of the website exceeds 5 seconds with an Internet connection of 50 Mbit/s, measured with the GTmetrix tool or a comparable tool.
c) Within the first 30 days after delivery of the website, more than 3 technical errors occur that impair the use of the website for a total of more than 6 hours. Technical errors include, for example, unavailability of the website, incorrect display or functionality of essential elements.
d) Less than 80% of the SEO optimizations agreed in writing (by email) have been demonstrably implemented. Proof shall be provided by submitting the e-mail communication and the corresponding implementation on the website.
e) The agency (landlord) repeatedly (more than 3 times) responds to inquiries by email and feedback from the customer (tenant) with a delay of more than 3 working days. This does not apply to requests made outside normal business hours (Mon-Fri, 9am-6pm).
If one or more of these cases occur, the customer (lessee) must report the defects to the agency (lessor) in writing by e-mail. The agency has 3 working days from receipt of the e-mail to confirm the defects and a further 5 working days to rectify the defects. If the agency is unable to rectify the defects within this period, the customer is entitled to demand a 50% refund of the first month’s fee. The refund will be made to the account specified by the customer within 14 days of the claim being made.
Option of early termination with 30 days‘ notice if the website does not meet expectations after the 14-day development phase
The expectations for the website after the 14-day development phase are specified as follows:
(a) 100% of the functions and content agreed in writing (by email) are implemented and functional.
b) The website is optimized and fully functional for the 5 most commonly used browsers (Chrome, Safari, Firefox, Edge, Opera) in the latest versions as well as for the common display sizes of desktop, tablet and smartphone.
c) The average loading time of the website is less than 3 seconds with an Internet connection of 50 Mbit/s, measured with the GTmetrix tool or a comparable tool.
If the website does not meet one or more of these expectations after the 14-day development phase, the customer (tenant) must report the defects in writing by e-mail to the agency (landlord). The agency has 3 working days from receipt of the e-mail to confirm the defects and a further 5 working days to rectify the defects. If the agency is unable to rectify the defects within this period, the customer has the right to terminate the contract with 30 days‘ notice to the end of the month.
The rights of the agency (lessor) regarding the ownership of the website and the traffic generated remain unaffected by such termination and continue to exist in full as stipulated in the original contract.
The written notification of defects must describe in detail which specific expectations were not met and what evidence is available (e.g. screenshots, test logs, loading time measurements). The notification must be sent by email within 3 working days of the end of the 14-day development phase. The agency has 3 working days to confirm receipt of the notification of defects.
These additional agreements supplement the existing website leasing contract and apply together with the agency’s general terms and conditions, which can be viewed at https://mingoversum.com/terms-and-conditions/. In the event of any conflict between these Supplementary Agreements and the General Terms and Conditions, these Supplementary Agreements shall prevail.
Amendments or additions to these supplementary agreements must be made in writing and must be signed by both parties.
